Terms & conditions

Article 1: Who we are & what this covers

  1. Your Digital Agency (Yda) was founded by Yvo Rolefes. We invent, make, film, host and distribute digital work, from websites and video to stadium advertising and print.

  2. These terms apply to all quotes, agreements and assignments you enter into with Yda.

  3. We only deviate from these terms if we agree that in writing (or by email) beforehand.

Article 2: Quotes, prices & starting work

  1. Validity: our quotes are valid for 14 days, unless another date is stated on the quote.

  2. Payment for projects:

    • For projects with a total value up to € 1,500 we invoice after delivery.
    • For projects above € 1,500 we use a 50/50 arrangement: 50% deposit at the start and 50% on final delivery or go-live (unless we agree otherwise).
  3. Payment term: invoices are due within 14 days of the invoice date.

  4. All prices on the website and in quotes exclude VAT, unless explicitly stated otherwise.

Article 3: Content delivery & planning

  1. Your input: a tight schedule depends on good input. The build or production phase only starts once Yda has received 100% of the required content (such as copy, logos, imagery and requirements) from you (unless we agree otherwise in writing).

  2. Delay: if you deliver content later than agreed, our delivery date shifts accordingly.

  3. Stalled projects: if a project sits idle for more than 4 weeks because you do not respond or do not supply required input, Yda may invoice work already done and temporarily pause the project.

Article 4: Revision rounds & extra work

  1. Included revisions: for fixed-price projects we include 2 revision rounds by default.

  2. Extra work: changes or expansions outside the original quote, or requests after the 2 revision rounds, count as extra work. We always agree this with you first and bill it at our current hourly rate.

Article 5: Ongoing services (hosting, maintenance & subscriptions)

  1. Term: ongoing services such as hosting and maintenance run for one (1) year and renew automatically for another year after that.

  2. Cancellation: you can cancel an ongoing service in writing or by email with one (1) month notice before the end of the current contract period.

Article 6: Ownership, licences & portfolio

  1. Ownership of deliverables: all intellectual property rights in designs, code, video and other work made specifically for you transfer to you only once the full invoice has been paid.

  2. In-house tools & licences:

    • The foundation, source code and intellectual property of tools, scripts or reusable elements developed in-house by Yda always remain Yda’s property.
    • You receive a usage licence. Yda may revoke that licence in case of non-payment, misuse, or when the agreement expires or ends.
  3. Portfolio rights: Yda may use delivered work as a case study, in the website portfolio or for social promotion (unless we expressly agreed confidentiality beforehand).

Article 7: Warranty & bug fixing

  1. After final delivery or go-live of a digital project, the following warranty period applies for fixing faults free of charge:

    • 14 days warranty on style and layout issues.
    • 30 days warranty on functional and usability faults (bugs).

Note: this warranty ends if changes or faults arise from the client’s own actions or from work by third parties.

Article 8: Liability & force majeure

  1. Limit: our maximum liability for direct damage is in all cases limited to the invoice amount of the specific assignment (or to the payout of our liability insurance).

  2. Third parties & force majeure: Yda is not liable for outages, faults, downtime or delays caused by external parties or software we do not directly control (such as hosting providers, network outages, domain registrars, or changes in platforms like WordPress, Google or Meta).

Article 9: Applicable law

  1. All agreements between you and Yda are governed exclusively by Dutch law.

  2. If a dispute arises that we cannot resolve together in good faith, we submit it to the competent court in the district of Overijssel (Almelo).
